Terms of Service

These Terms of Service govern your use of the Vizier platform and website, operated by The Algorithm, LLC ("Vizier," "we," "us"). By accessing or using Vizier, you agree to these terms. Questions? Contact legal@vizier.health.

1. Acceptable Use

Vizier is licensed for lawful healthcare analytics purposes. You may use Vizier to upload, analyze, and visualize clinical, financial, and operational data from your healthcare organization. You agree to use Vizier only in compliance with applicable laws, including HIPAA where applicable.

Prohibited uses

  • Attempting to re-identify de-identified or anonymized data to identify specific individuals
  • Uploading data you do not have authorization to process or that is subject to restrictions you have not disclosed to Vizier
  • Using Vizier for any purpose that would constitute a violation of HIPAA, HITECH, GDPR, or other applicable privacy law
  • Attempting to gain unauthorized access to Vizier systems or another customer's data
  • Using Vizier to make clinical decisions as a substitute for clinical judgment (see Section 7: Healthcare Disclaimer)
  • Reselling or sublicensing access to Vizier without written permission

2. Subscription Terms

Billing

Vizier subscriptions are billed monthly (Practice and Health System tiers) or annually (Enterprise tier, unless otherwise agreed). Billing begins on the date you activate your subscription. Subscriptions renew automatically unless cancelled. You authorize us to charge your payment method on file at the beginning of each billing cycle.

Cancellation

You may cancel your subscription at any time from your account settings or by contacting info@vizier.health. Cancellation takes effect at the end of the current billing cycle. You retain access to the platform through the end of your paid period. We do not offer prorated refunds for partial billing periods, except in cases of service-level failures covered under your SLA (Enterprise tier only).

Free trials

Free trials are available for Practice and Health System tier customers. No credit card is required to start a free trial. If you choose to subscribe after your trial, billing begins on the date you add a payment method.

3. Data Ownership

You own your data. All clinical, financial, and operational data you upload to Vizier remains your property. We do not claim any ownership interest in your data. We process your data solely to provide the analytics services described in your subscription and Business Associate Agreement.

You grant Vizier a limited, non-exclusive license to process, store, and analyze your data for the sole purpose of providing the contracted services. This license terminates when you cancel your subscription and your data has been deleted per our data retention policy.

Upon cancellation, you have 30 days to export your data in supported formats. After 30 days, data is permanently deleted. We charge no fees for data export.

4. Payment Terms

Payment is due at the beginning of each billing cycle. If payment fails, we will attempt to charge your payment method three times over 7 days. If payment is not received after three attempts, your account may be suspended. Suspended accounts retain data for 30 days, after which data is deleted.

Prices are listed in USD. We reserve the right to change pricing with 60 days' notice to existing subscribers. Price changes do not apply mid-term for annual Enterprise agreements.

5. Healthcare Disclaimer

Vizier is a data analytics platform. It provides analytical insights, visualizations, and reporting based on data you provide. Vizier does not provide clinical advice, medical diagnoses, treatment recommendations, or any form of clinical decision support that substitutes for the judgment of a licensed healthcare professional.

Analytics outputs from Vizier are intended to inform organizational and administrative decision-making. Clinical decisions must be made by qualified clinicians in accordance with applicable standards of care. Vizier is not an FDA-regulated medical device and is not intended for clinical decision support at the point of care.

6. HIPAA Obligations

If you are a covered entity or business associate under HIPAA, you must execute a Business Associate Agreement with Vizier before uploading any protected health information to the platform. BAAs are provided free of charge with all subscription tiers. By uploading PHI without a signed BAA in place, you are in breach of these Terms and your subscription may be terminated.

Vizier's obligations as a Business Associate are defined in the executed BAA. In the event of any conflict between these Terms and the BAA, the BAA governs with respect to PHI.

7. Limitation of Liability

To the maximum extent permitted by law, Vizier's total liability for any claim arising under or related to these Terms or the use of the platform shall not exceed the total fees paid by you to Vizier in the 12 months preceding the claim.

Vizier is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or business interruption, even if we have been advised of the possibility of such damages. This limitation does not apply to liability arising from our gross negligence, willful misconduct, or HIPAA breach obligations.

Enterprise clients with SLA terms have separate liability provisions defined in their service agreement.

8. Termination

Either party may terminate the subscription at any time. You may cancel per Section 2. We may terminate your account if you materially breach these Terms, including violations of acceptable use, non-payment after the grace period, or HIPAA violations. In the event of termination for cause, we will provide notice and a reasonable opportunity to cure, except in cases of serious security or legal risk.
